Easter Revision Courses Finder Membership Agreement
Introduction
Schools and Colleges who run Revision Courses in the UK can become
members of the Easter Revision Courses Finder (the Site) on payment
of a fee. Membership entitles the institution to post information
about their courses on the Site. The Site is owned and run by
Contrada Ltd of
12 Standingford House,
26 Cave Street,
Oxford OX4 1BA
1. Agreement
Membership of the Site is subject to the terms and conditions
set out in this agreement. By completing the registration page
you agree to be bound by this Membership Agreement.
2. Service Provided
2.1 In return for your membership fee Contrada Ltd will:
(a) grant you the use of a user name and password which allows
you to view / update your details on the Site
(b) allow you to create and maintain listings (see listings guidelines
in section 5)
(c) include your listings in search results shown on the Site
2.2 Contrada Ltd reserves the right to remove and/or change
your listings at any time, for any reason.
3. Acknowledgement
You acknowledge and agree that nothing in this Agreement obligates
Contrada Ltd to list your details on the Site or to provide
priority placement for your details.
4. Fees
The current fees for membership of the Site are listed at http://www.eastercourses.co.uk/rates.shtml.
You agree that your membership begins on receipt of your payment
and that in the event of your membership being cancelled for whatever
reason you are not entitled to request a refund.
5. Listings Guidelines
5.1 As institutions are able to alter their listings at any time,
Contrada Ltd reserves the right to determine at any time that
a listing or listings are inappropriate and to alter or remove
them. In order to avoid disappointment we recommend that institutions
study the listings guidelines which are available at http://www.eastercourses.co.uk/guidelines.shtml
5.2 Our decision as to what constitutes a reasonable listing and
a reasonable number of listings shall be final.
6. Exclusions and Limitation of Liability
6.1 the service is provided with reasonable skill and care, but
is otherwise provided on an "as is" and "as available"
basis without warranties of any kind, either express or implied.
6.2 Contrada Ltd shall not be liable under any circumstances
whatsoever for any loss of business, profits or goodwill, or for
any indirect or consequential damages of any kind that in any
way result from any aspect of the service.
6.3 in no event
shall Contrada Ltd's liability to you exceed the amount actually
paid by you to Contrada Ltd under this agreement.
7. Indemnity
You agree to indemnify, defend and hold harmless Contrada Ltd
from and against any and all liability, loss, damages and costs
(including reasonable legal fees and expenses) arising from any
violation by you of this Agreement or any violation by you of
any third party rights resulting from or arising out of your membership
of the Site.
8. Use of Your Data
You acknowledge and agree that Contrada Ltd may use the information
about you on its servers and any registration information submitted
by you in aggregate form for research and product development,
marketing, or other promotional purposes. You agree that Contrada
Ltd has the right (but not the obligation) to disclose any
such information, to the extent necessary, if Contrada Ltd
reasonably believes such disclosure is needed to comply with any
law or to take action to enforce this Agreement.
9. General Provisions
9.1 This Agreement together with these Service guidelines sets
out the entire agreement of the parties with respect to the Service
and supersedes all previous communications, representations (other
than fraudulent misrepresentations), understandings and agreements,
either oral or written, between the parties with respect to the
Service.
9.2 Neither party will incur any liability to the other party
on account of any loss or damage resulting from any delay or failure
to perform all or any part of this Agreement if such delay or
failure is caused, in whole or in part, by events, occurrences
or causes beyond its reasonable control.
9.3 Any notice required or permitted under the terms of this Agreement
or by law shall be by electronic mail or in writing and shall
be deemed delivered upon receipt by the party to whom such communication
is directed, at the addresses specified below. If to Contrada Ltd,
the email notice shall be addressed the email address notified to you when
you became a member of the site
and other written notices addressed to
Contrada Ltd, 12 Standingford House, 26 Cave Street, Oxford OX4 1BA.
If to you, the notices shall be addressed
to the electronic or mailing address specified in the Site registration
page.
9.4 This Agreement and the parties' relationship (and any dispute,
controversy, proceedings or claim of whatever nature arising out
of or in any way relating to this Agreement or its formation)
shall be governed by and construed in accordance with English
law. You and Contrada Ltd irrevocably submit to the courts
of England to have exclusive jurisdiction to hear and decide any
legal action or proceedings, and/or to settle any disputes, which
may arise out of or in connection with this Agreement.
9.5 If any term, condition or provision in this Agreement is found
to be invalid, unlawful or unenforceable to any extent, such invalid
term, condition or provision will be severed from the remaining
terms, conditions and provisions, which will continue to be valid
and enforceable to the fullest extent permitted by law. You agree
that no action related to this Agreement or your membership of
the Site may be brought more than one year after delivery of the
service giving rise to such cause of action.
9.6 Contrada Ltd reserves the right to modify the terms of
this membership agreement at any time without prior notice or
liability. The modified terms and conditions will be placed on
the Site.
